Terms of Service

This document is provided for transparency and should be reviewed by legal counsel before relied upon.
These Terms of Service ("Terms") govern your access to and use of the Assay API and related services ("Assay," the "Services") provided by Foundry Labs LLC ("Foundry Labs," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. The Services
Assay is cross-platform infrastructure for AI agent identity, trust scoring, and capability attestation. It provides a small set of HTTP endpoints (including /v1/agents/register, /v1/agents/{id}/trust, /v1/agents/{id}/attest, /v1/verify, /v1/discover, and /v1/agents/{id}/passport) that let you mint a portable agent identity, record attestations of completed work, compute trust scores from those outcomes, issue a signed portable passport, and verify or discover agents across any platform or framework.
The Services are provided "as is" and "as available." We may add, modify, deprecate, or remove features, endpoints, or capabilities at any time. We will use reasonable efforts to communicate material changes in advance.
2. Account and API Keys
To use metered or state-changing features of the Services, you must obtain an API key or authenticate via OAuth, and, beyond the free tier, provide a valid payment method. You are responsible for maintaining the confidentiality of your API keys and OAuth credentials, and for all activity that occurs under your account or credentials. You must notify us promptly at forge@foundrynet.io of any suspected unauthorized use or compromise.
API keys are non-transferable. We may suspend, rate-limit, or revoke keys that violate these Terms, that we reasonably believe are compromised, or that are used in a manner that degrades the Services for others.
3. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
- Use trust scores, verification results, attestations, or discovery data to unlawfully discriminate, defraud, harass, or harm any person or entity.
- Submit false, fabricated, or manipulated attestations, or otherwise attempt to game, inflate, or misrepresent any agent's trust score or capability record.
- Register agents you do not own or control, or impersonate another party's agent, organization, or identity.
- Attempt to gain unauthorized access to the Services, other accounts, or connected systems.
- Reverse engineer, decompile, or disassemble any portion of the Services, except to the extent that restriction is prohibited by law.
- Transmit malicious code or interfere with the integrity, security, or performance of the Services.
- Scrape, harvest, or bulk-extract identity, trust, or discovery data other than through the documented API and within applicable rate limits.
- Exceed reasonable rate limits or abuse the API in a manner that degrades service for others.
- Resell or redistribute access to the Services without our prior written consent.
4. Attestation Integrity
Attestations are the foundation of the trust signals the Services compute. When you record an attestation, you represent that it reflects a genuine, good-faith account of the outcome it describes. You must not submit attestations for work that did not occur, misstate outcomes, collude to inflate scores, or otherwise falsify the attestation record.
Each attestation produces an opaque cryptographic proof reference (an attestation_ref) that makes the record tamper-evident. Falsifying attestations, or attempting to alter or forge a proof reference, is a material breach of these Terms and may result in immediate suspension or termination. 5. Trust Scores Disclaimer
Trust scores, verification results, capability confirmations, and discovery rankings are computed signals derived from the attestation history available to the Services at the time of the request. They are provided "as is," are probabilistic in nature, and are not a guarantee, warranty, or prediction of any agent's identity, competence, safety, or future behavior.
You are solely responsible for your own delegation, coordination, and reliance decisions. You should apply independent judgment and appropriate safeguards before delegating work to, coordinating with, or otherwise relying on any agent based on data from the Services. A trust score is one input, not a substitute for your own diligence.
6. Billing and Payment
The Services are billed on a per-call, usage-based model settled via Stripe. Your first 50 calls are free; thereafter, metered calls are charged at the per-call rates published at assay.foundrynet.io and in effect when the usage occurs. You authorize us and our payment processor to charge your payment method for all fees incurred under your account.
We may update pricing prospectively with reasonable notice. All fees are non-refundable except where required by law. Failure to pay may result in suspension or revocation of your API keys and account. You are responsible for any taxes associated with your use of the Services, other than taxes on our net income.
7. Intellectual Property
The Services, including the Assay API, the trust-computation and attestation engine, associated software, and all related documentation, are the intellectual property of Foundry Labs and its licensors. These Terms grant you only a limited, non-exclusive, non-transferable, revocable right to use the Services as described herein, and no other rights.
You retain ownership of the data you submit to the Services ("Your Data"). By submitting Your Data, you grant us a limited license to process, store, and use it solely to provide and improve the Services, as further described in the Privacy Policy.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FOUNDRY LABS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY TRUST SCORE, VERIFICATION RESULT, ATTESTATION, OR DISCOVERY RESULT IS ACCURATE, COMPLETE, OR RELIABLE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUNDRY LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITIES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, INCLUDING ANY RELIANCE ON A TRUST SCORE OR VERIFICATION RESULT.
FOUNDRY LABS' TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO FOUNDRY LABS FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless Foundry Labs and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your Data, your violation of these Terms, or your violation of any rights of a third party.
11. Termination
Either party may terminate these Terms at any time. You may stop using the Services and request account deletion at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if your continued use poses a risk to the Services or other users. Upon termination, your right to use the Services ceases immediately.
We may retain Your Data for a reasonable period following termination to facilitate export and to meet legal obligations, after which it will be deleted in accordance with the Privacy Policy. Cryptographic integrity proofs are held internally, contain no personal data or raw work content, and are deleted together with the associated records.
12. Governing Law
These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved in the state or federal courts located in Washoe County, Nevada, and the parties consent to the personal jurisdiction of those courts.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via the email associated with your account or by posting notice at assay.foundrynet.io before the changes take effect. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
